IHOP® 10 Days of #IHOPCheer In-Restaurant Photo Scavenger Hunt Contest Official Rules (“Contest Official Rules”)

THIS CONTEST IS INTENDED FOR PARTICIPATION IN THE UNITED STATES ONLY AND WILL BE GOVERNED BY U.S. LAW. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE THE CHANCE OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

1. ELIGIBILITY: The IHOP® 10 Days of #IHOPCheer In-Restaurant Photo Scavenger Hunt Contest (“Contest”) is open only to individuals who are thirteen (13) years old or older and are legal residents of United States. Eligible minors must obtain their parent’s or legal guardian’s permission prior to participating and may be required to provide evidence of such permission. The following persons are not eligible to participate: employees, contractors, directors and officers of International House of Pancakes, LLC (“Sponsor”), MRM//McCann (“MRM//McCann”), their respective parent, subsidiary and affiliated companies, distributors, web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Contest (collectively, “Promotion Parties”), and their immediate family members (spouse, parent, child, sibling, grandparent, and/or “step”) of each and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Contest).

2. CONTEST PERIOD: Contest begins at 11:00:00 a.m. Eastern Time (“ET”) on December 10, 2014 and ends at 11:59:00 p.m. ET on December 19, 2014 (“Contest Period”). The Contest Period is divided into eleven (11) total entry periods: ten (10) entry periods consisting of one day each and one (1) entry period that spans the entire Contest Period (each an “Entry Period”) across one (1) social network (Instagram). Each Entry Period begins at 11:00:00 a.m. ET on the Start Date listed below in the Entry Period Table and ends at 11:59:00 p.m. EST on the End Date listed below in the Entry Period Table. Sponsor’s computer is the official time keeping device for the Contest.

3. HOW TO ENTER: NO PURCHASE NECESSARY AND NO ENTRY FEE, PAYMENT OR PROOF OF PURCHASE IS NECESSARY TO PARTICIPATE.

For each Entry Period, Participants must comply with the following entry requirements (“Entry Requirements”): (1) Participants must set their Instagram profile to public; (2) Participants must take a photo of the 10 Days of #IHOPCheer photo task(s) and upload the photo(s) (“Photo”) to their Instagram page; (3) In the Photo description, participants must tag #IHOPCheer and #Entry tag (“Caption”) (failure to include a Caption that mentions #IHOPCheer tag and #Entry tag will result in the submission being automatically disqualified); and (4) Participants must upload and share the Photo and Caption by 11:59:00 p.m. EST on the End Date listed on the Entry Period Table to be eligible to win. Participants who comply with the Entry Requirements and the Submission Guidelines (see below) will receive one (1) entry into the Contest, which shall include the Photo and Caption (“Entry”). Limit one Entry per person, per Instagram account per Entry Period.

Each Entry Period task will be announced according to the schedule in the Entry Period Table. Participants must complete the task specified for each Entry Period to be eligible to win for that Entry Period. For Entry Period 11, participants must complete all 10 tasks previously specified for Entry Periods 1 through 10; such tasks can be completed at any time during Entry Period 11. Participants who have validly entered to win in each of Entry Periods 1 through 10 shall be automatically entered to win for Entry Period 11.

  1. Entry Period #1: Participants must take a photo of the 10 Days of #IHOPCheer photo scavenger hunt task specifically designated for this Entry Period and upload the Photo and Caption by 11:59:00 p.m. EST on December 10, 2014 to be eligible to win.
  2. Entry Period #2: Participants must take a photo of the 10 Days of #IHOPCheer photo scavenger hunt task specifically designated for this Entry Period and upload the Photo and Caption by 11:59:00 p.m. EST on December 11, 2014 to be eligible to win.
  3. Entry Period #3: Participants must take a photo of the 10 Days of #IHOPCheer photo scavenger hunt task specifically designated for this Entry Period and upload the Photo and Caption by 11:59:00 p.m. EST on December 12, 2014 to be eligible to win.
  4. Entry Period #4: Participants must take a photo of the 10 Days of #IHOPCheer photo scavenger hunt task specifically designated for this Entry Period and upload the Photo and Caption by 11:59:00 p.m. EST on December 13, 2014 to be eligible to win.
  5. Entry Period #5: Participants must take a photo of the 10 Days of #IHOPCheer photo scavenger hunt task specifically designated for this Entry Period and upload the Photo and Caption by 11:59:00 p.m. EST on December 14, 2014 to be eligible to win.
  6. Entry Period #6: Participants must take a photo of the 10 Days of #IHOPCheer photo scavenger hunt task specifically designated for this Entry Period and upload the Photo and Caption by 11:59:00 p.m. EST on December 15, 2014 to be eligible to win.
  7. Entry Period #7: Participants must take a photo of the 10 Days of #IHOPCheer photo scavenger hunt task specifically designated for this Entry Period and upload the Photo and Caption by 11:59:00 p.m. EST on December 16, 2014 to be eligible to win.
  8. Entry Period #8: Participants must take a photo of the 10 Days of #IHOPCheer photo scavenger hunt task specifically designated for this Entry Period and upload the Photo and Caption by 11:59:00 p.m. EST on December 17, 2014 to be eligible to win.
  9. Entry Period #9: Participants must take a photo of the 10 Days of #IHOPCheer photo scavenger hunt task specifically designated for this Entry Period and upload the Photo and Caption by 11:59:00 p.m. EST on December 18, 2014 to be eligible to win.
  10. Entry Period #10: Participants must take a photo of the 10 Days of #IHOPCheer photo scavenger hunt task specifically designated for this Entry Period and upload the Photo and Caption by 11:59:00 p.m. EST on December 19, 2014 to be eligible to win.
  11. Entry Period #11: Participants must take a photo of all of the 10 Days of #IHOPCheer photo scavenger hunt tasks designated for each of the above Entry Periods during this Entry Period and upload the Photos and Captions by 11:59:00 p.m. EST on December 19, 2014 to be eligible to win.

Incomplete, false, misdirected, delayed, deceptive or garbled Entries may be disqualified. Entries will not be acknowledged or returned.

If entering via a mobile phone or other web-enabled device and using your wireless carrier’s network, standard data charges from your wireless carrier may apply. Entrants are responsible for any data and messaging rates that might apply. Entries must be in compliance with the Submission Guidelines set forth below. Entries must also comply with any applicable submission requirements and terms of use as dictated by the social media application used for entry, Instagram.

A potential winner may be requested to provide Sponsor with proof that he/she is the authorized account holder of the Instagram account associated with the winning Entry and/or an eligible entrant. Entrants may neither register/enter with multiple Instagram accounts nor may entrants use any other device or artifice to register/enter under multiple identities. Any entrant who attempts to enter with multiple accounts and/or under multiple identities will be disqualified and forfeit any prize won, in Sponsor's sole discretion. In the event of a conflict between the Contest Official Rules and the Instagram terms of use, the Contest Official Rules shall govern.

BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES THAT HIS/HER ENTRY MAY BE POSTED ACROSS ANY OR ALL OF SPONSOR’S DIGITAL AND SOCIAL MEDIA ASSETS, AT SPONSOR’S SOLE DISCRETION AT ANY TIME. By entering the Contest, entrant grants Sponsor and its agents the worldwide, royalty-free, non-exclusive and sub-licensable right and license to use, distribute, reproduce, modify, adapt, translate, publicly perform and publicly display the Entry in any way, at any time, in any and all media, including for use in advertising and marketing, without limitation, and without consideration to the entrant.

4. SUBMISSION GUIDELINES: By submitting an Entry, you agree that your submission is gratuitous and made without restriction, and will not place Sponsor under any obligation, that Sponsor is free to disclose the ideas contained in the Entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you. Sponsor reserves the right to, and may or may not, monitor/screen Entries. By entering, you acknowledge that Sponsor has no obligation to use or post any Entry or Tweet you submit.

By submitting an Entry, you warrant and represent that it: (a) is your original work; (b) has not been previously published; (c) has not won previous awards; (d) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (e) that you have obtained permission from any person whose name, likeness or image is used in the Entry (such permission shall include the right to use the person’s name, likeness or image in the Entry and for the purposes of the Contest and the right of Sponsor to use the person’s name, likeness or image as contemplated by these Official Rules (including posting on various media)); (f) that publication of the Entry via various media including Web posting, will not infringe on the rights of any third party; and (g) that any person who appears in the Entry is thirteen (13) years old or older and is a legal resident of the United States. Any Entry that contains elements that violate a third party’s copyright or trademark rights or features individuals that have not granted permission to be featured is automatically disqualified. Each entrant will indemnify and hold harmless Sponsor and Promotion Parties from any claims to the contrary. Any entrant whose work includes likenesses of third parties or contains elements not owned by the entrant (such as, but not limited to, depictions of persons, buildings, trademarks or logos) must be able to provide legal releases for such use including Sponsor’s use of such Entry, in a form satisfactory to Sponsor, upon request, prior to awarding of prize.

As determined by the Sponsor, in its sole discretion, Entries must meet the following guidelines:

  1. Must comply with these Contest Official Rules and the terms of service or use associated with the social-media application used for entry (Instagram);
  2. Cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity;
  3. Cannot contain any personal identification, such as license plate numbers, e-mail addresses or street addresses
  4. Cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;
  5. Cannot be obscene or offensive, endorse any form of hate or hate group;
  6. Cannot promote terrorist acts such as providing instructions on how to assemble bombs, grenades and other such weapons or provide instructional information about illegal activities;
  7. Cannot defame, misrepresent or contain disparaging or slanderous remarks about Sponsor, the Promotion Parties, their customers or products, or other people, products or companies;
  8. Cannot contain trademarks, logos or trade dress owned by others (except Sponsor’s trademarks, logos or trade dress), or advertise or promote any brand or product of any kind (except Sponsor’s products), without permission. Sponsor reserves the right to blur out any logos or trade dress if Entry is to be displayed on Website.
  9. Cannot contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art, stills, or images published on or in television, movies, the Internet or other media, except such materials owned by Sponsor) without permission;
  10. Cannot contain background artwork, unless it is an original work of the entrant;
  11. Cannot contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, other than the entrant, without permission;
  12. Cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate;
  13. Cannot depict, and cannot itself, be in violation of any law;
  14. Cannot contain individuals who do not meet required age of thirteen (13) years old or older and are not legal residents of the United States.

If you think that any Entry infringes your intellectual property rights, please follow the notification guidelines as stated herein. Sponsor investigates notices of alleged infringement and takes appropriate actions under the Digital Millennium Copyright Act, Title 17, United States Code, Section 512(c) ("DMCA"). Sponsor’s Designated Agent to receive notifications of claimed copyright infringement is by mail: Christine Son, Attorney of Record, 450 North Brand Blvd., Glendale, CA 91203. Your notice of claimed infringement must include the following information: (a) A physical or electronic signature of a person authorized to act on behalf of the copyright owner; (b) Identification of the copyrighted work claimed to have been infringed; (c) Identification of the material that is claimed to be infringing or to be the subject of the infringing activity, and that is to be removed or access to which is to be disabled, as well as information reasonably sufficient to permit us to locate the material; (d) Information reasonably sufficient to permit us to contact the copyright owner, such as an address, telephone number, and, if available, an electronic mail address; (e) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or applicable law; and (f) A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner. For more details on the information required for valid notification, see 17 U.S.C. 512(c)(3). Under the DCMA, claimants who make misrepresentations concerning copyright infringement may be liable for damages incurred as a result of the removal or blocking of the material, court costs, and attorneys' fees.

ENTRIES POSTED TO THE WEBSITE/SOCIAL MEDIA ASSET (IF ANY) WILL NOT BE EDITED (OTHER THAN BLURRING OUT ANY LOGOS OR TRADE DRESS AS DETERMINED BY SPONSOR, IN SPONSOR’S SOLE DISCRETION) BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrants. Sponsor reserves the right to waive the Contest entry requirements set forth herein in its reasonable discretion. By entering, you acknowledge that Sponsor has no obligation to use or post any Entry, including any Tweet, you submit.

5. PRIZES A total of fifty one (51) prizes will be awarded: five (5) prizes will be awarded for each of Entry Periods #1 through #10. One (1) prize will be awarded in Entry Period #11. A prize in Entry Period #1 through Entry Period #10 is one of fifty (1 of 50) gift cards with an approximate retail value of $50.00 USD, each. Approximate retail value of all prizes to be awarded in Entry Period #1 through Entry Period #10 totals $2,500.00 USD. A prize in Entry Period #11 is one (1) gift card with an approximate retail value of $1,000.00 USD. The total approximate retail value of all prizes to be awarded for the Contest is $3,500 USD. Prizes may not be exchanged or redeemed for cash, sold, or traded. No prize transfer, assignment, or substitution by Winner(s) is permitted. Sponsor reserves the right to substitute a prize of approximately equal or greater value.

Winner(s) will be solely responsible for any and all local, state, and federal taxes, as well as any license and registration or other fees incurred by participation in the Contest, including but not limited to transportation costs, gratuities and other items of an incidental nature. Sponsor will report any individual winnings over $600 (in cash or fair market value of goods or services) in a one-year period to the Internal Revenue Service. Winner(s) will receive a Form 1099 from Sponsor if Sponsor reports any winnings to the Internal Revenue Service.

6. CONTEST JUDGING CRITERIA/HOW TO WIN: Entries will be judged by two representatives from MRM//McCann (“Judges”) on the basis of creativity and originality. There will be a total of fifty one (51) Winner selections. At the end of each Entry Period for Entry Periods #1 through #10, Judges will select five (5) Winners among all eligible Entries. At the end of Entry Period #11, Judges will select one (1) Winner among all eligible Entries. All decisions made by Judges are final. All decisions of Sponsor concerning all matters related to this Contest are final. Winner(s) will be notified by 11:00:00 a.m. EST on the listed Winner Notification Date by Sponsor (as @IHOP) by a direct comment on the potential winner’s Photo submission and request potential winner’s contact information to be sent via Facebook private message within seventy-two (72) hours of notification. Winner(s) must meet all eligibility requirements including the execution and delivery of all necessary releases as requested by Sponsor. If any attempted notification is not successful within ten (10) days, the prize will be forfeited and Sponsor reserves the right to select an alternate winner from among the remaining eligible Entries, in accordance with the judging criteria set out in these Official Rules.

7. CONDITIONS AND RESTRICTIONS APPLY: Winner(s) must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. Proof of U.S. residency, age, and identity are required to claim a prize. Winner(s) are subject to verification by Sponsor, whose decisions are final and binding in all matters related to the Contest. An entrant is not a winner of any prize unless and until entrant’s eligibility has been verified and entrant has been notified that verification is complete. In the event that a winner is determined to be ineligible or fails to respond to Sponsor within ten (10) days of notification, the Prize will be forfeited and Sponsor reserves the right to select an alternate winner from among the remaining eligible Entries in accordance with the judging criteria set out in these Official Rules. Sponsor reserves the right to terminate the Contest without awarding the prizes if no eligible winner(s) or alternate winner(s) claim the prizes within the required time period.

Winner(s) may be required to execute and return to Sponsor a liability and publicity release and affidavit of eligibility (except where prohibited) within ten (10) days of notice of winning. In the event that a winner fails to execute and return a liability release and affidavit of eligibility (except where prohibited) within ten (10) days of notice of winning, their prize may be forfeited and Sponsor may randomly select an alternate winner from among the remaining eligible Entries.

Acceptance of prize constitutes permission for the Sponsor to use Winner’s name and/or likeness and/or winning Entry, including Photo and Caption, for advertising and promotional purposes without additional compensation, unless prohibited by law.

8. LIMITATION ON LIABILITY: Sponsor will not be responsible for lost, late, damaged, defaced, incomplete, stolen, illegible, indiscernible, mutilated, illegally obtained, postage due or misdirected Entries, or for any typographical or other error in the printing of the offer, administration of the Contest, or announcement of the prize and/or all Contest-related materials. By entering this Contest, each entrant forever discharges, releases, and holds harmless Sponsor and each of its parent companies, subsidiaries, affiliates, and each of its directors, officers, employees, and agents from any and all liability, claims, losses, damages, causes of action, suits, and demands of any kind arising from or in connection with the Contest, however caused.

9. SPONSOR’S RESERVATION OF RIGHTS: These Official Rules are subject to modification by Sponsor at any time. In the event of a dispute, all decisions made by Sponsor are final and binding. Sponsor reserves the right, in its sole discretion, to disqualify any person who tampers with or abuses the entry process, or who otherwise acts in violation of these Official Rules. Sponsor further reserves the right, in its sole discretion, to cancel, terminate, or modify this Contest if, for any reason, the Contest is not capable of completion as planned, including due to force majeure or non-authorized human intervention that compromises or affects the administration, fairness, integrity, or proper conduct of the Contest.

10. RELEASE OF LIABILITY: By participating in the Contest, entrants release Sponsor, Promotion Parties, participating retailers, and all of their respective affiliates, officers, directors, employees, representatives and agents from any and all claims, damages or liabilities arising from or relating to such entrant's participation in the Contest. By accepting a prize, each recipient (a) agrees that the Sponsor, Promotion Parties, participating retailers, and all of their respective affiliates, officers, directors, employees, representatives and agents, and Instagram will have no liability whatsoever for, and shall be held harmless by winner against, any liability for injuries, losses or damages of any kind to persons or property resulting in whole or in part, directly or indirectly, from participation in the Contest; from acceptance, possession, misuse or use of prize and (b) grants (and agrees to confirm grant in writing promptly upon request) to Sponsor and those acting under Sponsor’s authority the right to the use of his/her name, photograph, likeness, voice, image, statements and biographical information, at any time or times, for advertising, trade, publicity and promotional purposes in any media now known or hereafter discovered, worldwide, including the Internet without review, notification or approval, and additional compensation, unless prohibited by law. Sponsor is not liable in the event that any portion of the Contest is canceled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control (a “Force Majeure Event”).

11. GENERAL CONDITIONS: Winners are solely responsible for any taxes on the prize he or she receives, and will receive an IRS Form 1099 for the ARV of the prize, if applicable. No cash equivalent or substitution of prize is offered, except at the sole discretion of the Sponsor. No transfer of prize is permitted. Unclaimed prizes will not be awarded. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. If for any reason the Contest is not capable of running as planned, including infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right, at its sole discretion, to disqualify any individual who is responsible or who tampers with the entry process, and to cancel, modify or terminate the Contest. In the event of cancellation, Sponsor will determine the winner from among all eligible, non-suspect Entries received prior to cancellation. This Contest is offered only in the United States and is governed by the laws of the state of California.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE WEB SITE OR INTERFERE WITH THE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
